簡介
Responsibilities:
- Handles corporate projects involving acquisitions and investments, joint ventures or other joint undertakings, legal and capital restructuring, or other exercise affecting the Company’s charter documents, incorporation of new entities, spin-offs, or dissolution
- Handles all securities regulation and corporate governance and disclosure requirements of the Company, affiliates, and subsidiaries
- Implements the Group Value Creation in a Competitive Environment (VCCE)/ Fair Competition Directive, Commercial Documentation Directive, and AntiBribery & Corruption Directive (ABCD) including establishing a framework for general compliance monitoring
- Handles all corporate housekeeping concerns ensuring the integrity of the Company’s corporate records as well as compliance with the Company’s manual on corporate governance and relevant securities regulation and corporate governance laws
- Drafts and/or reviews agreements and contracts for the Company, affiliates, and subsidiaries to ensure compliance with Group and Company policy requirements as well as applicable laws, and ensure the protection of the Company’s rights and preclusion of unnecessary or unintended liability for the Company while ensuring achievement of commercial goals
- Provides legal advice on, including a macro-level strategic approach for, projects, initiatives and new businesses, including analysis of business concepts, risks, and processes and establishing the legal framework thereof, and all other matters or issues brought before the department to ensure the protection of the Company’s interests and preclusion of unnecessary or unintended liability for the Company while bearing in mind business targets
- Drafts and/or reviews Company policies, guidelines, and procedures in the areas of contracting and implementation of Group directives to assure their consistency with applicable laws and effectiveness in promoting their relevant objectives and Group values
- Participates in the case strategy planning of pre-litigation cases and in the defense or prosecution of lawsuits of the Company and/or Company directors, officer and employees
Requirements:
- Doctor of Jurisprudence or Bachelor of Laws Degree holder
- Member of the Philippine Bar in good standing
- Must have a minimum of eight (8) years of experience in the practice of law
- Strong problem solving skills, ability to think strategically and to develop & implement plans and programs, wide degree of creativity and latitude, self-driven and can work under pressure
- Must have a strong sense of integrity and business ethics
